Terms of Service

These Terms and Conditions ("Terms") govern your use of LunoByte's website design and development services ("Services"). By engaging our Services, you agree to comply with these Terms.

1. Service Agreement

1. Project Scope: Services will be outlined in a separate Project Proposal or Statement of Work agreed upon by both parties.
2. Client Responsibilities: You agree to:
   • Provide all necessary content (text, images, logos) within agreed timelines
   • Appoint a single point of contact for project coordination
   • Make timely payments as specified

2. Payments & Pricing

1. Pricing: All quotes are in Nigerian Naira (₦) unless otherwise stated.
2. Payment Schedule:
   • 50% deposit before project commencement
   • 40% upon design approval
   • 10% balance before website launch
3. Late Payments: Subject to 5% monthly interest or work stoppage.

3. Intellectual Property

1. Client Materials: You warrant that all provided content is owned by you or properly licensed.
2. Deliverables: Upon full payment, you receive:
   • Ownership of final website design and developed code
   • License to use any included LunoByte templates
3. Portfolio Rights: We may display completed projects in our portfolio unless otherwise agreed in writing.

4. Project Timeline

1. Estimated timelines are subject to:
   • Client responsiveness
   • Scope changes
   • Third-party dependencies (domain registration, hosting setup)
2. Delays caused by the client may incur additional fees.

5. Revisions & Changes

1. Includes 2 rounds of revisions per design phase.
2. Additional revisions billed at ₦5,000/hour.
3. Major scope changes require a new agreement.

6. Cancellation Policy

1. By Client: Deposit is non-refundable if work has commenced.
2. By LunoByte: We may cancel with notice if:
   • Client fails to provide required materials for 30+ days
   • Unpaid invoices exceed 15 days

7. Hosting & Maintenance

1. Optional hosting at ₦15,000/year (includes basic maintenance).
2. Clients using external hosting must ensure compatibility with our stack (typically WordPress/PHP or static sites).

8. Limitation of Liability

Our total liability is limited to fees paid for the specific service causing the claim. We are not liable for:

• Third-party services (hosting, domains, plugins)
• Client content accuracy
• Business losses from website downtime

9. Governing Law

These Terms are governed by laws of the Federal Republic of Nigeria. Disputes shall be resolved in Kano State courts.
